Terms of Service

1. Acceptance of Terms

By accessing or using reCleave (“the Platform,” “we,” “us,” or “our”), including creating an account, you agree to these Terms of Service (“Terms”) and our Privacy Policy. If you do not agree, do not use the Platform. These Terms form a binding agreement between you and the operator of reCleave.

2. Eligibility

You must be at least 16 years old (or the minimum age of digital consent in your country, if higher) to create an account. By using the Platform, you represent that you meet this requirement and have the legal capacity to enter into these Terms.

3. Description of Service

reCleave is a community platform that helps artists and creative professionals form or join local creative communities, discover opportunities, and collaborate. Features may include:

• Open Calls: post and respond to collaborations, visits, events, and related opportunities
• Residencies: browse and apply to residency programs
• Spaces: create or claim creative venues and community calendars
• Projects: showcase creative work
• Connections and messaging: network and communicate with other members
• Cities and countries: browse activity by place

Features may change as the Platform evolves. Early-access features may be incomplete or experimental.

4. Accounts

4.1 Account security

You are responsible for safeguarding your credentials and for activity under your account. Notify us promptly at support@recleave.com if you suspect unauthorized use.

4.2 Accurate information

You agree to provide accurate registration and profile information and to keep it reasonably up to date.

4.3 Prohibited conduct

You agree not to:

• Violate any applicable law or regulation
• Infringe intellectual property, privacy, or other rights of others
• Post false, misleading, fraudulent, or defamatory content
• Harass, abuse, threaten, or harm other users
• Spam, scrape, or overload the Platform, or attempt unauthorized access
• Impersonate others or misrepresent your affiliation with a person or organization
• Use the Platform to facilitate illegal activity

5. User content

5.1 Your ownership

You retain ownership of content you submit (profiles, posts, calls, projects, images, messages, and similar materials) (“User Content”).

5.2 License to reCleave

By posting User Content, you grant reCleave a worldwide, non-exclusive, royalty-free, transferable, and sublicensable license to host, store, reproduce, adapt, publish, publicly display, and distribute that User Content solely to operate, improve, promote, and provide the Platform. This license ends when you delete the content from the Platform, except for reasonable residual copies in backups or caches and content others have lawfully reshared or that we must retain for legal compliance.

5.3 Your responsibilities

You represent that you have all rights needed to post User Content and to grant the license above, and that your content does not violate these Terms or others' rights. You are responsible for Open Calls, Residencies, Spaces, and other listings you create, including accuracy and honoring commitments you make through the Platform.

5.4 Copyright complaints

If you believe content on the Platform infringes your copyright, see our DMCA / Copyright Policy.

6. Interactions between users

Connections, messaging, collaborations, residencies, and in-person meetings arranged through the Platform are between the users involved. reCleave does not supervise those interactions, does not guarantee identity or qualifications, and is not a party to agreements between users. Exercise care offline. Report abuse through in-product reporting tools or support@recleave.com.

7. Platform intellectual property

The Platform's name, branding, software, design, and documentation are owned by reCleave or its licensors and are protected by intellectual property laws. Except for your User Content and rights expressly granted in these Terms, no license is granted to you.

8. Disclaimers

Important: please read

THE PLATFORM IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, RECLEAVE DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT LISTINGS, PROFILES, OR OPPORTUNITIES ARE ACCURATE OR SUITABLE FOR YOU.

9. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, RECLEAVE AND ITS OPERATORS, CONTRIBUTORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE PLATFORM OR INTERACTIONS WITH OTHER USERS. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE PLATFORM WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US FOR THE PLATFORM IN THE TWELVE MONTHS BEFORE THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS (US $100). SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS; IN THOSE CASES OUR LIABILITY IS LIMITED TO THE MAXIMUM EXTENT PERMITTED.

10. Indemnity

You agree to defend, indemnify, and hold harmless reCleave and its operators from and against claims, damages, losses, and expenses (including reasonable legal fees) arising from your User Content, your use of the Platform, your interactions with other users, or your violation of these Terms or applicable law.

11. Termination

You may stop using the Platform at any time. We may suspend or terminate access, or remove content, if you violate these Terms, if required by law, or to protect the Platform or other users. Provisions that by their nature should survive (including licenses for residual copies, disclaimers, limitations, and indemnity) will survive termination.

12. Changes to these Terms

We may update these Terms from time to time. We will revise the “Last updated” date above and, for material changes, may provide additional notice (for example via the Platform or email). Continued use after the effective date constitutes acceptance of the updated Terms.

13. Governing law and disputes

These Terms are governed by applicable law without regard to conflict-of-law rules, except where mandatory consumer protections in your country of residence require otherwise. Where permitted, disputes will be resolved in the courts with jurisdiction over reCleave's principal place of business, without limiting either party's right to seek injunctive relief for intellectual property misuse.

14. General

If any provision of these Terms is found unenforceable, the remaining provisions remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a reorganization or transfer of the Platform. These Terms, together with the Privacy Policy and any policies linked from them (including the DMCA / Copyright Policy), are the entire agreement between you and reCleave regarding the Platform.
